Terms of use.

These terms apply to services provided by JHL AS (“JHL”, “we”, “us”) and to the licensing and use of the ProMatrix software product. By ordering a service, downloading or using ProMatrix, you accept these terms.

1. About JHL AS

JHL AS is a Norwegian consultancy delivering ERP development, Power BI, integrations, AI automation and tailored IT solutions, as well as the software product ProMatrix – a certifiable matrix visual for Microsoft Power BI.

2. Definitions

• Services – consulting and development work performed by JHL under agreement
• ProMatrix – the Power BI visual with its license key and documentation
• License – your right to use ProMatrix according to the chosen tier
• Company – a single legal entity (one registration number)
• Group – a set of companies under common ownership

3. Services and engagements

Consulting engagements are agreed separately, in writing or by quotation. Scope, deliverables, timeline and price are set out in each agreement. These terms supplement such agreements; in case of conflict, the specific engagement agreement prevails.

Unless otherwise agreed, work is invoiced on a time-and-materials basis. JHL performs the services professionally and with reasonable care, but does not guarantee any particular commercial outcome.

4. ProMatrix – licensing model

ProMatrix is licensed per year, not per user. All prices are stated excluding VAT.

• Free – NOK 0. Full functionality with a watermark in the visual
• Pro – NOK 6,900/year. Covers one company (one legal entity), no watermark
• Premium – NOK 14,900/year. Covers an entire group (multiple companies)
• Enterprise – by agreement. Tailored templates, onboarding and terms

All users within the licensed entity may use ProMatrix at no extra cost. You may upgrade tier at any time; the difference is invoiced for the remaining period.

5. Pricing and payment

Paid licenses are invoiced on order with a 14-day payment term unless otherwise agreed. The license key is issued once payment is registered. Late payment accrues interest under the Norwegian Late Payment Interest Act.

6. License key and activation

ProMatrix is activated with a license key stored locally. The product is built without external network calls and works fully offline – including behind firewalls and in environments with strict network requirements. The license key is specific to the licensed entity and must not be shared outside it.

7. Permitted use

The license grants you a non-exclusive, non-transferable right to use ProMatrix within the licensed company or group. You must not:

• Decompile, reverse-engineer or attempt to extract source code
• Resell, rent out or distribute the license key to third parties
• Circumvent or remove license or watermark mechanisms
• Use the product in violation of applicable law

8. Free version

The free version may be used at no cost and without a time limit, but displays a watermark in the visual. Certain features (including Excel export, calculated columns, advanced formatting and IBCS) require Pro or Premium.

9. Renewal and expiry

ProMatrix is not a subscription service – it is actively renewed each year. If a license is not renewed, ProMatrix falls back to the free version: reports still render, but paid features and watermark removal require renewal. You never lose access to your own data.

10. Intellectual property

All rights to ProMatrix, including source code, design and trademarks, belong to JHL AS. The license transfers no ownership. For consulting deliverables, rights to bespoke material are agreed in each engagement agreement.

11. Support and updates

Paid licenses include email support and ProMatrix updates during the license period. We aim to respond quickly, but provide no binding response time unless specifically agreed (e.g. under Enterprise).

12. Disclaimer

The services and ProMatrix are provided “as is”. We give no warranty that the product is error-free or fit for any particular purpose. You are responsible for verifying that results and calculations are correct before relying on them for decisions.

13. Limitation of liability

JHL is not liable for indirect losses, including lost profits, lost data or business interruption. JHL’s total liability is in any event limited to the amount you have paid for the relevant license or service over the preceding twelve months.

14. Privacy

The processing of personal data is described in our privacy policy. ProMatrix sends no data to JHL or any third party.

15. Changes to these terms

We may update these terms. Material changes will be announced on the website. The date at the top indicates when the terms were last revised. Changes do not apply retroactively to agreements already entered into.

16. Governing law and venue

These terms are governed by Norwegian law. Disputes shall be resolved amicably where possible. Failing that, the proper venue is JHL’s registered place of business.
